These Vendor Terms (“Vendor Terms”) govern the relationship between Nustall.com (“Nustall,” “the Website,” “we,” “us,” or “our”), an online discovery platform intended for use by Vendors and Customers located in India, and any individual or business that registers a storefront or lists products on Nustall.com (“Vendor,” “you,” or “your”). These Vendor Terms supplement, and are incorporated into, Nustall’s general Terms & Conditions, Privacy Policy, Shipping Policy, and Return & Refund Policy. By registering as a Vendor on Nustall.com, you agree to be bound by these Vendor Terms in addition to those other policies. In the event of a conflict between these Vendor Terms and the general Terms & Conditions on a topic specific to Vendors, these Vendor Terms control.
1. Independent Business Relationship
To host a shop on Nustall.com, you must be at least 18 years old and legally capable of entering into a binding contract under the Indian Contract Act, 1872. You are an independent business. Nothing in these Vendor Terms creates an employment, agency, partnership, or joint venture relationship between you and Nustall. You are solely responsible for your own business operations, including sourcing, pricing, taxation, and compliance with applicable law. Nustall does not control, and is not responsible for, how you operate your business.
2. Product Listings and Compliance
As a Vendor, you agree that:
- All product listings, descriptions, images, and pricing you submit must be accurate, complete, and not misleading;
- You hold all rights, licenses, and permissions necessary to sell the products you list, and that such products are lawful to sell in India;
- You will comply with all applicable Indian laws relating to your products, including the Legal Metrology Act, 2009 (where applicable), labeling and MRP requirements, safety standards, and GST and other tax obligations;
- You will not list counterfeit, stolen, prohibited, or illegal goods, or goods that infringe any third party’s intellectual property rights;
- You will promptly update or remove listings that are out of stock, discontinued, or no longer accurate.
3. Shipping Responsibility
You are solely and fully responsible for the shipping and delivery of every order placed with you, including packaging, choice of carrier, shipping costs, delivery timeframes, tracking, and resolution of any shipping-related issue such as delay, loss, or damage. Nustall.com does not ship, store, or handle any product on your behalf. This responsibility is further detailed in Nustall’s Shipping Policy, which is incorporated into these Vendor Terms. Nustall is not responsible or liable for any shipping issue arising from your orders.
4. Returns and Refunds Responsibility
You are solely and fully responsible for accepting, processing, and resolving returns, exchanges, and refunds for your own products, in accordance with your own published return and refund terms and applicable Indian consumer protection law, including the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020. This responsibility is further detailed in Nustall’s Return & Refund Policy, which is incorporated into these Vendor Terms. Nustall does not process, approve, or issue refunds on your behalf and is not responsible or liable for any return or refund dispute arising from your orders.
5. No Commission; Payments Are Between You and the Customer
Nustall.com does not currently charge Vendors any listing fee, subscription fee, referral fee, or commission, and Nustall does not process, collect, hold, or facilitate any payment between a Vendor and a Customer. Nustall.com functions as a discovery platform: Vendors host a shop and showcase items, and interested Customers contact the Vendor directly to inquire about or purchase an item. Any pricing, payment method, and payment arrangement is negotiated and settled directly between you and the Customer, entirely outside of Nustall.com. You are solely responsible for issuing valid invoices, collecting and remitting any applicable GST or other taxes that apply to your business, and maintaining accurate financial records for your sales, in each case if and as required by applicable Indian law.
If Nustall introduces any fee, commission, or paid platform feature in the future, this section will be updated in advance, and continued use of Nustall.com as a Vendor after such an update constitutes acceptance of the revised terms.
6. License to Use Vendor Content for Advertising and Promotion
By submitting product photographs, descriptions, store names, logos, or other promotional materials (“Vendor Content”) to Nustall.com, you grant Nustall a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, display, distribute, publish, and adapt your Vendor Content to operate, market, advertise, and promote Nustall.com, its Vendors, and the products listed on the platform, across both online and offline channels, without prior notice to you. The complete terms of this license, including the full list of covered channels, are set out in Section 7 of Nustall’s Terms & Conditions, which is incorporated into these Vendor Terms. You retain ownership of your Vendor Content; this is a license, not a transfer of ownership.
7. Vendor Conduct and Prohibited Activities
As a Vendor, you agree not to:
- Manipulate reviews, ratings, or Customer feedback, including through fake reviews or incentivized positive reviews without disclosure;
- Misrepresent your identity, business credentials, or affiliation with Nustall;
- Engage in fraudulent, deceptive, or unfair trade practices;
- Use Customer data obtained through Nustall.com for any purpose other than fulfilling that Customer’s order, unless the Customer has separately consented.
8. Performance Standards and Complaint Monitoring
Nustall may monitor Vendor performance based on factors that may include Customer complaints, late or non-delivery rates, order cancellation rates, return and refund disputes, and reports of counterfeit, defective, or misrepresented products. Vendors are expected to maintain a reasonable standard of service consistent with these Vendor Terms and applicable law.
9. Warning, Final Notice, and Account Termination
If Nustall determines, in its reasonable discretion, that a Vendor has received a significant volume of Customer complaints, or exhibits a pattern of complaints relating to shipping, product quality, returns, refunds, or other Vendor obligations under these Vendor Terms, Nustall will generally follow the process below before terminating the Vendor’s account on that basis:
- Step 1 — Warning. Nustall will notify the Vendor of the complaints or issues identified and request that the Vendor address the underlying cause within a reasonable period.
- Step 2 — Final Notice. If the issues continue or are not resolved, Nustall will send the Vendor a final notice, explaining that the account is at risk of termination and giving the Vendor an opportunity to respond and appeal before any termination decision is made.
- Step 3 — Vendor Appeal. The Vendor may respond to the final notice with an explanation, supporting evidence, or a corrective action plan. Nustall will review the appeal in good faith before making a final decision.
- Step 4 — Termination. If Nustall determines, after considering any appeal, that the issues remain unresolved or that termination is otherwise warranted, Nustall may suspend or terminate the Vendor’s account and remove the Vendor’s listings from Nustall.com.
Notwithstanding the process above, Nustall reserves the right to immediately suspend or terminate a Vendor’s account without prior warning or final notice in cases involving illegal goods, fraud, counterfeit products, a serious violation of applicable law, or conduct that poses an immediate risk to Customers or to Nustall.com. The standard warning and final notice process described above applies to complaint-pattern and performance-based terminations, not to these immediate-risk situations.
10. Effect of Suspension or Termination
Upon suspension or termination, the Vendor’s listings will be removed or hidden from Nustall.com, and the Vendor may not create a new account without Nustall’s written consent. Termination does not relieve the Vendor of any obligation to fulfill, ship, or resolve returns and refunds for orders placed prior to termination, or of any indemnification or payment obligation that accrued before termination. The Vendor Content license described in Section 6 survives termination to the extent that promotional materials containing Vendor Content have already been produced, printed, scheduled, or distributed prior to the termination date.
11. Indemnification
You agree to indemnify and hold harmless Nustall, its owners, officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your products, your listings, your shipping or fulfillment practices, your returns and refunds practices, your Vendor Content, or your breach of these Vendor Terms or applicable law.
12. Confidentiality and Customer Data
Any Customer information you receive through Nustall.com (such as name, shipping address, or contact details) may only be used to fulfill that Customer’s order and for legitimate related purposes, such as customer service. You agree to handle such information securely, in accordance with applicable Indian law, including the Digital Personal Data Protection Act, 2023, and not to use it for unrelated marketing or share it with third parties except as necessary to fulfill the order.
13. Governing Law and Dispute Resolution
These Vendor Terms are governed by the laws of India. Any dispute arising out of or relating to these Vendor Terms shall be subject to the exclusive jurisdiction of the courts located in Bangalore, India, as further described in Nustall’s Terms & Conditions.
14. Changes to These Vendor Terms
Nustall reserves the right to update or modify these Vendor Terms at any time. Material changes will be communicated to registered Vendors, and changes will be posted on this page with a revised “Last Updated” date. Continued use of Nustall.com as a Vendor after any changes constitutes acceptance of the revised Vendor Terms.
